Terms and Conditions – Acronis Cyber Protect Solution (by WIPL) Scope of Solution This quotation covers licensing, deployment, and configuration of the Acronis Cyber Protect platform for backup, disaster recovery, endpoint protection, and associated services. Customizations, integrations, or third-party services are not included unless explicitly mentioned. License & Subscription All licenses are provided on a subscription basis (monthly/annual, as specified in the quote). Licensing is user-based, device-based, or workload-based as per Acronis SKUs and deployment model. Subscription validity and entitlements are governed by Acronis’ EULA. Deployment & Onboarding WIPL will assist with setup, configuration, and initial policy rollout as per defined scope. Onboarding includes knowledge transfer and basic training sessions for your IT team. Support & SLAs Standard support: 9x6 from WIPL, with escalation to Acronis for critical issues. Premium support or 24x7 assistance available on request at additional cost. SLAs align with Acronis’ global service tiers unless otherwise agreed in writing. Data Security & Compliance All backups are encrypted in transit and at rest using Acronis’ security protocols. Customer retains full ownership of their data; WIPL and Acronis act as facilitators only. GDPR, HIPAA, and local compliance guidelines are respected where applicable. Infrastructure & Responsibility The customer is responsible for ensuring compatible hardware, internet connectivity, and platform requirements. WIPL will not be held liable for service delays caused by third-party infrastructure or internal network issues. Payment Terms Invoices are payable within 15 days from the date of issuance unless agreed otherwise. Late payments may incur penalties or suspension of services. Renewal & Termination Subscription auto-renews unless a termination notice is given 30 days prior to expiry. Early termination of prepaid licenses is non-refundable unless contractually defined. Liability Limitation WIPL and Acronis shall not be liable for any indirect, incidental, or consequential damages including data loss due to misconfiguration or user error. Maximum liability shall not exceed the fees paid for the solution in the last 2 months. Confidentiality Both parties agree to treat all shared information, configurations, and strategies as confidential. Engagement Vaibhav Global Limited (“VGL”) engages WIPL (Webspiders Interweb Pvt. Ltd.), an authorized Acronis Partner, to facilitate the provision of Acronis Backup Services under the following terms and conditions. Support and Issue Resolution - WIPL will use its best efforts to assist VGL with troubleshooting and support. • All technical support, product updates, and issue resolution will be provided directly by Acronis International GmbH (“Acronis”). Backup Monitoring and Data Integrity - VGL is responsible for monitoring backup operations and verifying data integrity via the Acronis master backup console. • If backups are stored locally or on Azure, VGL assumes full responsibility for the integrity and availability of those backups. Access and Security - VGL will be granted access to the Acronis master backup console. • VGL may update or change console credentials at any time to prevent unauthorized access. Fees and Commitment - VGL agrees to pay the fees specified in the proposal for a commitment period of one year. • The proposal may include advanced features that are not applicable to the SKU selected; these features will not incur additional charges unless expressly added. Role of WIPL - WIPL acts solely as an intermediary between Acronis and VGL. • Acronis International GmbH owns the Acronis Backup product and is solely responsible for all product-related SLAs, legal compliance, and future feature updates or policy changes. • WIPL disclaims any liability for Acronis’s product features, SLAs, or compliance obligations. This clause survives termination of the engagement. Jurisdiction These terms shall be governed by and construed in accordance with the laws of India. Disputes, if any, shall be subject to the exclusive jurisdiction of the courts at Jaipur Only.
